Logitech cut its share capital to [CHF 39,036,913.25](https://www.sec.gov/Archives/edgar/data/0001032975/000103297526000056/logi-20261012.htm?ref=bullished.co) from CHF 40,196,115, an 8-K filed Tuesday shows, after canceling shares it had bought back on the SIX Swiss Exchange. The amended articles took effect Monday, when they were published in the Swiss Official Gazette of Commerce.

## What the 8-K says

The filing, under Item 5.03 (amendments to a company's governing articles), says Logitech changed Article 3 to reflect the lower capital. The registered share count now stands at 156,147,653, each with a nominal value of CHF 0.25.

The reduction comes from cancelling shares repurchased on the SIX Swiss Exchange for cancellation purposes under the company's share buyback program, according to the filing. The 8-K is signed by CEO Johanna (Hanneke) Faber and CFO Matteo Anversa and dated October 13, 2026.

The nominal value per share did not change; only the number of shares and the total capital did.

## The capital band moved too

Because Article 3 changed, Logitech also amended Article 27, which sets the Swiss "capital band." That band is the range within which the board may raise or lower share capital without a new shareholder vote. The [amended articles](https://www.sec.gov/Archives/edgar/data/0001032975/000103297526000056/articlesofincorporationo.htm?ref=bullished.co) put it at CHF 36,176,503.50 at the low end and CHF 44,215,726.50 at the top.

Board authority within the band runs until September 9, 2030, or an earlier expiry. Within it, the board may issue up to 20,715,253 new shares or cancel up to 11,441,639 shares, as applicable, the articles say.

The articles also keep conditional capital for employee equity plans and convertible bonds, each of up to CHF 6,250,000 through 25,000,000 shares.

## What it means for holders

Fewer registered shares means each remaining share represents a larger slice of the company. Logitech shares closed at $102.77 on Nasdaq at Tuesday's close, up 4.52% from the prior session. That close came before the filing was accepted at 4:30 p.m. ET, so it does not reflect the disclosure.

The articles were last modified on September 16, 2026, according to the amendment history, and the October 12 publication in the gazette is the date the new share count took effect.
