- Description: A proxy fight is a contested shareholder vote over who sits on a company's board. Here is how one moves from nominations to ballot, using a live ski-resort case.

Key takeaways

- Outside investors in a proxy fight typically nominate their own candidates to challenge the company's board slate.
- The fight plays out in public filings: nomination notices, proxy statements and letters from the board urging shareholders how to vote.
- Activists sometimes trim their stake just under 5%, which changes their ownership-reporting status, as JANA Partners did at Alkami.
- A universal proxy card lists every candidate from both sides on one card, so you can mix and match.
- You are not required to vote, but if you hold shares on the record date, your vote counts the same as anyone's.

## What a proxy fight is

A proxy fight is a contest between a company's board and a shareholder, usually an activist investor, over how shareholders will vote at a meeting. Most often the question is who gets elected as directors. Each side asks other shareholders to give it their "proxy," meaning the authority to cast their votes.

Most shareholders never attend the meeting. They vote ahead of time, and [the SEC explains](https://www.sec.gov/spotlight/proxymatters/voting%5Fmechanics.shtml?ref=bullished.co) that the right to vote belongs to whoever owns shares on the company's record date. In a quiet year, you vote on management's slate. In a fight, you get competing pitches.

## How nominations reach the ballot

A company's bylaws set a window for shareholders to nominate their own candidates before the annual meeting. An activist that wants a contest submits a notice naming its nominees within that window. The company then decides whether to recommend its own slate, add to it, or negotiate a settlement.

Once nominations are in, both sides file proxy materials with the SEC. You can read them for free through [EDGAR full-text search](https://www.sec.gov/edgar/search/?ref=bullished.co). Look for the nominee biographies, who is paying for the campaign, and how each side describes the other.

## What the board's letter argues

The board's letter to shareholders is its case in writing. Typical arguments cover the company's recent results, the qualifications of its own nominees, and questions about the challenger's candidates and motives. Treat it as advocacy: the activist's materials are advocacy too.

[Vail Resorts' board told holders to vote only for its nine nominees](https://www.bullished.co/vail-resorts-board-tells-holders-to-vote-only-its-nine-nominees-shun-oasis-and-meyer-661eb918/) and to reject four activist nominees plus one self-nominated candidate. It also described a cost-savings effort, saying it had identified another $30 million beyond the original $100 million annual target.

## Example: a resort operator against an activist slate

The Vail Resorts contest shows how a fight unfolds across several filings. The annual meeting is set for December 14, and Oasis, the activist, now has five dissident candidates against the board's nine.

A board can also attack how a slate came together. A later letter [claimed Cloudflare's CEO brought two of Oasis's nominees](https://www.bullished.co/vail-says-cloudflare-ceo-introduced-two-oasis-nominees-to-the-activist-a-week-before-9300cdeb/) to the fund a week ahead of nominating them. The same filing put Oasis's stake at roughly 9% of Vail, and said Baron Capital owned 18%. Ron Baron said his firm would support management's nine nominees, according to [another Bullished report](https://www.bullished.co/vail-resorts-board-says-two-oasis-nominees-were-introduced-by-cloudflare-ceo-prince-who-3abd2d08/). Large holders' stated positions matter because they control many votes.

The lesson: a contested vote is a paper trail. Each letter adds claims you can check against the earlier filings.

## Why activists drop below 5%

Investors who cross 5% of a company's shares generally face a heightened ownership-reporting regime. Some activists deliberately slip under that line. [JANA Partners sold 1,412,000 Alkami shares](https://www.bullished.co/jana-sells-1-4-million-alkami-shares-slipping-below-5-to-open-private-talks-with-board-59d493c1/), taking its stake to 4.98% measured against 107,042,319 shares outstanding. It said the lower stake gave it more room to talk privately with directors.

That is a different campaign, not a proxy fight: it shows a private-talks route that activists can choose instead of a public ballot.

## Universal proxy card

A universal proxy card lists all nominees from both sides on a single card. Under the older approach, each side sent its own card and you generally had to choose one slate. With a universal card, you can pick some of the company's nominees and some of the activist's.

For a shareholder, the practical effect is that each candidate is judged individually. Read the biographies, mark each name you support, and keep the total within the number of seats up for election, since over-voting can invalidate the card.

## What happens after the vote

Votes are counted by an independent inspector, and results are reported to the SEC, typically in an 8-K, the report a company files when something important happens (see the [8-K instructions](https://www.sec.gov/files/form8-k.pdf?ref=bullished.co)). The outcome can be a full win for the board, a split result, or a win for the activist. Many fights also end before the vote in a settlement that adds some activist-backed directors.

If you want to know how to vote or change a vote, the [SEC's voting guide](https://www.sec.gov/spotlight/proxymatters/voting%5Fmechanics.shtml?ref=bullished.co) covers it. For general investor education, see [Investor.gov](https://www.investor.gov/?ref=bullished.co).

## Frequently asked questions

### What is a proxy fight?

It is a contested shareholder vote in which an investor, often an activist, asks other shareholders to back its candidates or proposals instead of the board's. Both sides solicit proxies through filings and letters.

### What is a universal proxy card?

It is one ballot listing every nominee from the company and the challenger. It lets you vote for any combination of candidates up to the number of open seats.

### Do I have to vote my shares?

No. Voting is a right, not a duty. Holders as of the record date get voting materials from the company or their broker, and a share left unvoted simply does not count either way.

## How this analysis was done

This guide follows one live contest, Vail Resorts and Oasis, through the board's October 30 letter and its later letters, and one separate ownership filing involving JANA Partners and Alkami. Figures come from Bullished's stories on those filings. The general explanations draw on the SEC's voting guide. It describes how the process works and does not predict the outcome of any vote.
