Key takeaways

- A [proxy statement](https://www.finra.org/investors/insights/proxy-season-primer-proxy-statements-and-shareholder-meetings?ref=bullished.co) is the document a public company files before its shareholder meeting, laying out what you are voting on and what the top executives were paid.
- Start with the summary compensation table, which puts each top executive's salary, stock awards, cash incentives and other pay in one place.
- Then check the pay ratio, the perquisites footnote, the related-party section and the vote results, because that is where the details people miss tend to sit.
- Every worked example here comes from a real proxy Bullished covered, so you can see what each section looks like in practice.

## How to read a proxy statement's executive compensation, in short

Open the summary compensation table first, read the total and then the pieces behind it (salary, stock awards, cash incentives, "other" pay). Next check the pay ratio, the footnote behind any perks, the related-party section and the vote items. That sequence takes a few minutes and covers most of what matters about pay and conflicts of interest.

You can find the filing on [EDGAR full-text search](https://www.sec.gov/edgar/search/?ref=bullished.co), where the proxy appears under the form name DEF 14A. The [SEC's investor education site](https://www.investor.gov/introduction-investing/investing-basics/glossary/executive-compensation?ref=bullished.co) says the proxy is usually the easiest place to look up executive pay, because the annual report often just points you to it.

## Start with the summary compensation table

The summary compensation table [covers the CEO](https://www.sec.gov/edgar/search/?ref=bullished.co), the CFO and the three other highest-paid executive officers, according to the SEC's description. It is the one table that adds everything into a total, so read it before the long narrative.

Check these columns in order: salary, stock awards, cash incentive, and "all other compensation." Stock awards are usually the biggest piece and are valued when granted, not when the executive sells.

[Palo Alto Networks paid CEO Nikesh Arora](https://www.bullished.co/palo-alto-networks-pays-ceo-nikesh-arora-80-3-million-308-times-its-median-employee-d3719c18/) $80,270,519 for fiscal 2026\. The lesson is how lopsided a package can be: his salary was $1 million, while stock awards were valued at $75,937,806, with $2,332,713 in other pay. His 2025 total was $99,736,336 and his 2024 total was $58,036,875, so year-to-year swings are large and one year alone can mislead.

Also separate what was granted from what was realized. The same story shows Arora realized $261,143,193 on stock, a different measure from the table's grant-date values. When a proxy gives a "realized pay" figure, compare it with the table total.

## Pay ratio: comparing the CEO with the median employee

The pay ratio compares the CEO's total pay with the pay of the median employee, the person in the middle of the company's pay scale. Companies disclose it as a multiple. Read the median employee's dollar figure too, because the multiple depends on both numbers and on who counts as an employee.

Palo Alto's ratio was about 308 times a median employee earning roughly $260,431\. A very different company, [Oil-Dri](https://www.bullished.co/oil-dri-ceo-got-449-400-in-charity-gifts-he-directed-inside-2-4-million-pay-package-ee257909/), reported total CEO pay of $2,398,755, about 29 times the $82,866 earned by its median employee. At [BILL](https://www.bullished.co/bill-ceo-rene-lacertes-pay-falls-to-11-4-million-after-starboard-settlement-and-two-6cc1eebd/), the CEO's pay equaled 57 times the $200,142 earned by its median employee. A high multiple is a reason to read the pay design, not a verdict.

## Perquisites and directed gifts

Perquisites, or perks, hide in the "all other compensation" column and its footnote. The footnote lists each item, so read it line by line instead of trusting the column total.

Oil-Dri's proxy shows how much a footnote can hold. CEO Daniel Jaffee received $489,294 in perquisites in fiscal 2026, and $449,400 of that was charity gifts he directed. The same footnote counted $34,128 of private flights. Without the breakdown, the perk total would look like ordinary personal benefits. His other pay was a $931,944 salary, $838,750 in cash incentives, $118,206 in dividends on stock and a $20,561 401(k) match.

## Related-party deals

A related-party transaction is a deal between the company and an insider: a director, an executive, a major holder or a family member or firm connected to one. Companies must describe these in the proxy, usually in a section with a name like "Certain Relationships and Related Transactions." Check who is on the other side, the amount and whether independent directors approved it.

Oil-Dri's story also notes that a director's law firm billed $909,593\. That is a fact about two parties doing business, and the section tells you how the board handled it. It is a reason to read, not a conclusion.

Related-party issues also show up in deal documents. [Distribution Solutions Group closed a $145 million purchase of GradeEight](https://www.bullished.co/distribution-solutions-group-pays-145-million-for-gradeeight-while-its-boss-pursues-a-d676b449/) while a take-private led by its CEO's firm awaited a stockholder vote. The filing mentions a Schedule 13E-3 transaction, the SEC filing for going-private deals involving insiders, and affiliates owning about 78.5% of the company. When insiders sit on both sides, look at who decides and who votes.

## Pay after activist settlements

When an activist investor settles with a company, pay often changes afterward. Compare this year's table with last year's and read the compensation discussion for why.

BILL's CEO René Lacerte had 2026 pay of $11,356,364, down from $16,139,836 a year earlier, after a settlement with Starboard and two executive exits. Stock awards fell to $10,074,514 from $14,861,481, while salary held at $550,000\. The proxy shows his realized pay was 36% below his target, and a cash incentive paid out at 125.7%. The company cut equity grants and added six directors since the start of 2025, so the pay drop sits inside a board overhaul.

## Votes: say-on-pay and what the numbers mean

Shareholders get a nonbinding advisory vote on executive pay, called say-on-pay. The [SEC's investor bulletin](https://www.investor.gov/introduction-investing/general-resources/news-alerts/alerts-bulletins/investor-bulletins/say-pay?ref=bullished.co) explains that the vote must be held at least once every three years and that a separate frequency vote lets holders choose how often. [FINRA's proxy primer](https://www.finra.org/investors/insights/proxy-season-primer-proxy-statements-and-shareholder-meetings?ref=bullished.co) adds that annual meetings usually also include director elections, auditor approval and equity plan votes.

Read last year's result. Palo Alto's pay package came after only 46% of voting shares backed the previous year's pay program, and holders also face a board-structure vote on December 8\. Because the vote is advisory, the number signals shareholder sentiment, and the next proxy shows how the board responded.

## Frequently asked questions

### How do I read a proxy statement?

Find the DEF 14A on EDGAR, then go to the summary compensation table, the pay ratio, the perquisites footnote, the related-party section and the voting items. Read footnotes, not just totals.

### What is the CEO pay ratio?

It is the CEO's total pay divided by the median employee's pay, shown as a multiple. Palo Alto's was about 308 and Oil-Dri's about 29.

### What are related-party transactions?

They are dealings between a company and its insiders or people and firms tied to them, such as a director's law firm. Proxies must describe them so shareholders can judge them.

## How this analysis was done

This checklist draws on proxy-based stories Bullished published on October 27, covering Palo Alto Networks, Oil-Dri, Distribution Solutions Group and BILL, plus SEC and FINRA reference pages. Figures are those reported in those stories. They are examples of how to read a proxy, not a statistical sample.
