Key takeaways

- Cross 5% of a company's voting shares with an eye on influence, and the SEC wants a [Schedule 13D](https://www.ecfr.gov/current/title-17/chapter-II/part-240/subject-group-ECFRb8a264d3a4d1c48/section-240.13d-1?ref=bullished.co); passive holders may use the shorter 13G.
- The initial filing deadline was shortened by SEC rule changes adopted in October 2023, and the current text of the rule sets it in business days, so check the rule itself for the exact number.
- A 13D is a living document: material changes, including buying more shares, require amendments, and the amendments are where stake caps, buyout bids and creeping purchases show up.
- A 13D says what a holder owns and intends. It is a disclosure, not a verdict on the stock.

## Who must file a 13D: over 5% with intent to influence

Anyone who becomes the beneficial owner of more than 5% of a class of a company's registered equity securities must report it to the SEC on Schedule 13D, unless a shorter form applies. The [SEC's rule on filing Schedules 13D and 13G](https://www.ecfr.gov/current/title-17/chapter-II/part-240/subject-group-ECFRb8a264d3a4d1c48/section-240.13d-1?ref=bullished.co) sets that threshold, and a group acting together can count as one holder.

"Beneficial owner" is broader than simply holding shares in your own name. [Investor.gov explains](https://www.investor.gov/introduction-investing/investing-basics/glossary/schedules-13d-and-13g?ref=bullished.co) that it includes anyone who directly or indirectly shares voting power or the power to sell.

The 13D is for holders who may want to influence the company. Investors who bought in the ordinary course of business without a purpose or effect of changing or influencing control, and who meet the rule's conditions, may file the shorter 13G instead. As the [SEC's press release on the 2023 amendments](https://www.sec.gov/newsroom/press-releases/2023-219?ref=bullished.co) puts it, the 13D is for investors with control intent. Which form fits depends on your facts, so ask counsel or the SEC's staff.

## The 13D filing deadline

The rule requires the first statement within a set number of business days after the acquisition. Until the 2023 changes, the window was longer; the SEC said at adoption that the old 10-day deadline felt antiquated and shortened the deadline for initial 13D filings. Read the current number in Rule 13d-1 rather than from older articles, which may quote the former period.

The clock runs from the date of the acquisition that took the holder over 5%, not from the date the holder decides to act.

## What a 13D must disclose

The schedule is a structured report. Broadly, it identifies the filer, the company and the class of shares, how many shares are held and what percentage that is, where the money came from, the purpose of the purchases, and any contracts or arrangements tied to the shares. Plans such as a buyout, board changes or asset sales belong in the purpose section.

The share count used changes the percentage. [Conifer's amendment on Group 1 Automotive](https://www.bullished.co/conifer-now-holds-16-9-of-group-1-automotive-after-paying-41-6-million-for-more-shares-11c05390/) divides by 11,922,225 shares outstanding to reach about 16.9%. The same filing shows several affiliated funds buying, so the holding is a combined figure across entities.

You can file or read these on EDGAR; the SEC has a [how-to for filing 13Ds and amendments](https://www.sec.gov/submit-filings/filer-support-resources/how-do-i-guides/file-schedule-13d-schedule-13-g-corresponding-amendments?ref=bullished.co), and you can look up any company's filings through [EDGAR full-text search](https://www.sec.gov/edgar/search/?ref=bullished.co).

## Amendments when holdings change

A 13D is not filed once and forgotten. Material changes in the facts require an amendment, and Investor.gov describes this as a prompt amendment. Buying or selling enough shares to change the percentage materially counts, as does a change in plans.

Creeping purchases show how this works. Conifer's buying cost about $41.6 million. Nippon Life [added 4,658,665 Corebridge shares](https://www.bullished.co/nippon-life-spends-about-160-million-on-corebridge-stock-in-three-weeks-lifting-its-stake-547ae225/) in October, ending with 29.4% of 445,772,522 outstanding. The filing lists buying on 14 trade dates at average prices from $32.8031 to $35.3820, under a previously disclosed pre-scheduled trading plan.

The lesson: an amendment is the running ledger of a position. Compare the share count and percentage with the previous one to see who is adding.

## Stake ceilings and standstills in practice

Some amendments record deals between holder and company. [People Inc.'s amendment on MGM Resorts](https://www.bullished.co/dillers-people-inc-accepts-29-9-ceiling-on-its-mgm-resorts-stake-33e8ef75/) shows a ceiling: People holds 66,822,350 MGM shares, 26.5% of the class on 251,592,756 shares outstanding, and agreed not to go above 29.9%. In exchange, MGM agreed not to adopt a poison pill (a defensive device that dilutes a large holder) aimed at it. It was Amendment No. 10 to the schedule, which shows how long a 13D can stay active.

Such agreements are exactly the kind of change that must be reported. Read the amendment's section on contracts and arrangements for caps, lockups and voting promises.

## Buyout proposals filed as 13Ds

A holder that wants to take a company private often says so in its 13D, because a buyout plan is a purpose that must be disclosed. [Trian and Flynn's offer for Wendy's](https://www.bullished.co/peltzs-trian-and-flynn-offer-7-35-a-share-in-cash-to-take-wendys-private-c32433ab/) is a non-binding $7.35-a-share cash bid, roughly 20% above the October 27 close. Trian holds roughly 16.3% of Wendy's and plans to roll that stake over rather than cash out. The letter assumes about 194.0 million fully diluted shares.

A non-binding proposal is not a deal. It shows what a large holder wants, and the company's board has not necessarily agreed to anything.

## Common mistakes when reading a 13D

- Treating the percentage as fixed. It depends on the shares outstanding the filer used.
- Ignoring the date. Read the trade dates, not just the filing date.
- Mixing up the forms. A 13G is the shorter passive version; a 13D signals possible influence.
- Assuming a 13D predicts the stock's path. It reports what happened and what the holder says it plans.

## Frequently asked questions

### What percentage requires a 13D?

[More than 5% of a class](https://www.sec.gov/submit-filings/filer-support-resources/how-do-i-guides/file-schedule-13d-schedule-13-g-corresponding-amendments?ref=bullished.co) of a company's registered voting equity securities, held directly or indirectly, triggers a reporting obligation, according to the SEC's rule. Eligible passive holders may file the shorter 13G instead.

### How fast must a 13D be filed?

Within a set number of business days after the acquisition that crosses 5%. The SEC shortened this deadline in 2023, so check the current text of Rule 13d-1 for the number.

### Is a 13D good or bad for a stock?

Neither by itself. It discloses a holder's size and intentions, and those can range from added buying to a buyout bid to a standstill. Read what the specific filing says.

## How this analysis was done

This guide draws on the SEC's rule text, the SEC's 2023 press release and Investor.gov's explanation of Schedules 13D and 13G. The examples are four recent Schedule 13D amendments and proposals as described in Bullished stories published October 27 and October 28\. Figures are quoted as those stories report them. No statistical sample was analyzed.
