Kirby's controller, Ronald A. Dragg, 62, told the company on Tuesday that he [intends to retire](https://www.sec.gov/Archives/edgar/data/0000056047/000119312526417702/kex-20261006.htm?ref=bullished.co) in the first quarter of 2027, according to an 8-K filed Thursday. Kirby said the departure involves no disagreement over its accounting or internal controls.

## What the 8-K says

Dragg is Kirby's Vice President, Controller and Assistant Secretary. The filing, made under [Item 5.02](https://www.sec.gov/Archives/edgar/data/0000056047/000119312526417702/kex-20261006.htm?ref=bullished.co), the section that covers departures of certain officers, says he plans to leave after Kirby files its annual report on Form 10-K for the year ended December 31, 2026.

The company states that his retirement is not the result of any disagreement relating to its "operations, policies, practices, accounting principles, financial statement disclosures, or internal controls." That is the point a holder checks first when the person who keeps the books announces an exit.

Dragg will keep his current positions during the transition and will help ensure an orderly handover of his responsibilities. Kirby thanked him for his 30 years of service.

## What it changes

Nothing changes immediately. The controller stays in place through the preparation and filing of the 2026 annual report, so the retirement follows that filing rather than preceding it.

The 8-K names no successor. It also says the terms of any compensation arrangement tied to the retirement have not yet been determined.

## What to watch

If Kirby approves a material compensation arrangement for Dragg, the company said it will amend this 8-K to disclose the material terms. The filing was signed by Raj Kumar, Kirby's Executive Vice President and Chief Financial Officer.

The next disclosures to look for are an amended 8-K if Kirby approves a retirement arrangement for Dragg, and the 2026 annual report, which his exit follows.
