# iRhythm Closes VitalConnect Purchase With $237.5 Million Cash And Up To 423,334 Shares

iRhythm completed its purchase of VitalConnect on Monday, paying [$237.5 million in cash](https://www.sec.gov/Archives/edgar/data/0001388658/000138865826000083/vitalconnect%5Fclosingprxf.htm?ref=bullished.co) from its balance sheet plus up to 423,334 shares issued at closing, according to an [8-K](https://www.sec.gov/Archives/edgar/data/0001388658/000138865826000083/irtc-20261005.htm?ref=bullished.co) and attached press release.

## What the filing says

The 8-K, signed by Chief Financial Officer Daniel Wilson, furnishes the press release under Regulation FD. Following the closing, VitalConnect became a wholly owned subsidiary of iRhythm Technologies, itself a direct wholly owned subsidiary of iRhythm Holdings.

The cash price is subject to customary adjustments. Separately, iRhythm provided $10.0 million of working capital funding to VitalConnect between signing and closing, the company said.

VitalConnect's platform offers up to 30-day patient monitoring and can track up to 11 physiological parameters. iRhythm says that capability advances its multi-vitals strategy beyond traditional ambulatory cardiac monitoring. The company also lists four-in-one functionality, flexible service models and live look-in as features.

## What it changes

The deal adds mobile cardiac telemetry, known as MCT, to iRhythm's cardiac monitoring service. It also extends the company into inpatient, remote and hospital-to-home settings.

CEO Quentin Blackford said VitalConnect "brings complementary mobile cardiac telemetry (MCT), multi-vitals and monitoring capabilities to iRhythm's established end-to-end cardiac monitoring service." VitalConnect CEO Peter Van Haur said the team believes it can accelerate growth by pairing with iRhythm's scale and customer reach.

On the numbers, iRhythm expects the transaction to enhance its revenue growth rate beginning in 2027\. It says the deal preserves its previously communicated 15% adjusted EBITDA margin target for 2027\. Those are management expectations, not results.

The press release lists integration challenges, loss of key VitalConnect employees or customers, and unforeseen liabilities among the risks that could make results differ.

## What to watch

iRhythm will provide updated 2026 financial guidance, inclusive of VitalConnect, on its third quarter earnings call on November 5.

Until the November 5 call, the 2026 guidance on file does not include VitalConnect.
