# Intapp's Proxy Shows 220,000 AI-Program Stock Units For CEO John Hall, Plus A $1 Million Cash Bonus

Intapp's annual proxy filing, made Tuesday, puts CEO John Hall's fiscal 2026 [total compensation at $18,548,023](https://www.sec.gov/Archives/edgar/data/0001565687/000114036126038804/ny20077997x1%5Fdef14a.htm?ref=bullished.co), against median employee pay of $206,248\. A new "AI Transformation Program" supplied much of the stock behind that figure.

## What the proxy says

Hall, who also chairs the board, received 291,400 restricted stock units in fiscal 2026 (stock that vests over time). Of those, 220,000 came from the AI Transformation Program and 71,400 from the annual grant.

Dustin Sedgwick, who joined on August 25, 2025, received a $1,000,000 cash bonus approved February 19, 2026 under the same program. He also got 90,000 transformation RSUs, the filing showed.

The Compensation Committee scored individual objectives at 120% for Hall and 140% for Thad Jampol. David Morton and Don Coleman got 100%. Hall's total cash bonus came to $587,586.

The net new annual contract value component of fiscal 2026 bonuses paid out at 103%, above the minimum target threshold.

## What it changes

The transformation grants came on top of annual awards, so the AI program adds to pay rather than replacing any of it. The proxy calls the company's AI push its "Firm AI" strategy, anchored by a product named Intapp Celeste, and individual bonus scores explicitly credit executives for that work.

The committee benchmarks pay against a 21-company software peer group that includes Workiva, Blackbaud and Guidewire. Director Charles Moran also sits on the board of Manhattan Associates, one of those peers.

## What to watch

Shareholders will vote on the advisory executive pay proposal and on two Class III directors, including Hall. Last year's pay vote drew roughly [93.8% support](https://www.sec.gov/Archives/edgar/data/0001565687/000114036126038804/ny20077997x1%5Fdef14a.htm?ref=bullished.co), according to the filing.

The advisory pay vote will show whether that 93.8% support holds now that the AI-linked grants are in the numbers.
