# Hyatt’s Annual Pritzker Family Sale Window Opens With 14,685,256 Shares Eligible

[Hyatt Hotels](https://www.bullished.co/tag/h/), which operates and licenses hotels and resorts, opened its annual Pritzker family sale window Thursday, with [14,685,256 restricted shares](https://www.sec.gov/Archives/edgar/data/0001468174/000110465926123908/tm2628942d1%5F8k.htm?ref=bullished.co) eligible for public-market sale. The company’s SEC filing Friday puts that eligibility period through November 4, 2027, under agreements that limit family stockholders’ sales.

## The family’s annual selling limits

The family’s allocation depends on the restrictions staying in place without amendments, waivers or termination. It also assumes Pritzker family holders make no share transfers to one another.

The agreements set selling limits for annual periods beginning November 5\. They govern how many shares family stockholders may sell; the 14,685,256-share figure describes eligibility under those limits rather than a completed stock sale.

Hyatt’s stockholder agreements cover certain outstanding shares in both its Class A and Class B categories. Public-market sales remain subject to securities laws, and the eligibility figures use information current as of Friday’s filing.

## Hyatt’s purchase rights outside the family

Other stockholders covered by the 2007 Stockholders’ Agreement hold [2,270,395 restricted shares](https://www.sec.gov/Archives/edgar/data/0001468174/000110465926123908/tm2628942d1%5F8k.htm?ref=bullished.co) of Class B stock that are eligible for public-market sale at any time. Those sales are subject to securities laws and Hyatt’s contractual right of first refusal—a right to buy the shares first.

Another 2,678 restricted shares are eligible for sale at any time under securities laws. The stockholder agreements’ lock-up provisions, which limit sales, do not apply to that allocation.

## The hotel business behind H shares

Hyatt’s operations span hotels, resorts and all-inclusive properties, with brands including Park Hyatt, Grand Hyatt, Hyatt Regency, Hyatt Place and Hyatt Ziva organized into five portfolios. Its business also includes vacation packages and destination services through ALG Vacations and boutique travel bookings through Mr & Mrs Smith.

The company earns fees for managing and franchising properties, hotel services and brand licensing, alongside revenue from owned and leased hotels and distribution services. Those activities form its three reporting segments.

At December 31, 2025, Hyatt’s portfolio comprised 1,528 hotels and all-inclusive resorts with 372,763 rooms. The company reported $7,101 million in revenue for 2025, and its executive team is based in Chicago.

For the Pritzker family allocation, November 4, 2027, is the end of this annual eligibility window; the other stated allocations are eligible for sale at any time under their respective rules.
