[Greenbrier](https://www.bullished.co/tag/gbx/), which designs and builds freight railcars, has recorded no loss for a federal finding that it evaded duties on rail couplers, even though it puts the range of reasonably possible losses at [zero to about $110 million](https://www.sec.gov/Archives/edgar/data/0000923120/000119312526431954/gbx-20260831.htm?ref=bullished.co), according to its annual report filed Monday. The estimate leaves out interest and penalties.

## A lost appeal, and a bet on the next one

Customs and Border Protection (CBP) said in May 2026 that Greenbrier evaded antidumping and countervailing duties on couplers attached to newly built railcars, covering a period dating to April 2024\. The company filed an administrative appeal in July, and CBP affirmed its determination in September.

CBP now wants duties collected on covered couplers retroactive to April 2024, with formal consumption entries required from here on. The company then took the case to the U.S. Court of International Trade in October.

The $110 million figure applies to couplers logged between April 24, 2024 and September 30, 2026, and the company says it is still checking historical data. Greenbrier says it will fight the ruling hard and sees strong legal defenses. Because it does not believe a loss is probable, it has booked no accrual. The company cautions that the result may be material to its earnings, financial position or liquidity.

CBP's investigation of the company was first reported in the company's filings in August 2025 terms, and the May determination was already disclosed in its [quarterly report filed July 1](https://www.sec.gov/Archives/edgar/data/0000923120/000119312526292719/gbx-20260531.htm?ref=bullished.co). The September affirmation, the October appeal and the updated range are new in this filing.

## A second front on tank cars

The report also describes a September 30, 2026 petition, filed with the Commerce Department and the International Trade Commission by a competitor. It alleges that tank cars built in Mexico, including at Greenbrier's Mexican plants, are sold in the U.S. below normal value and benefit from subsidies from the Mexican government.

If duties are imposed and Greenbrier cannot pass them to customers, the company says the effect could be significant. Broader Section 232 tariffs have materially raised its tank car prices at home, it says. The [prior annual report](https://www.sec.gov/Archives/edgar/data/0000923120/000119312525253612/gbx-20250831.htm?ref=bullished.co) carried no tariff-evasion matter.

## A weak year underneath

In Manufacturing, operating earnings dropped 68.0%, or $256.6 million, in the year ended August 31, 2026, with deliveries down 31.9% to 13,900\. Backlog stands at 14,000 units, worth an estimated $2.1 billion, against 16,600 a year earlier.

Net cash from operations fell to $39.6 million from $265.7 million. Net earnings attributable to Greenbrier were $79.0 million, or $2.49 a diluted share, against $204.1 million, or $6.35\. Its lease fleet grew to [about 20,900 railcars](https://www.sec.gov/Archives/edgar/data/0000923120/000119312526431954/gbx-20260831.htm?ref=bullished.co), 98.0% on lease.

Greenbrier's market value was about $1.2 billion as of the report. The obligations table assumes $373.8 million of 2.875% convertible notes due April 2028 will be repaid at maturity rather than converted.

The next step is the Court of International Trade appeal of the coupler determination, alongside whatever Commerce does with the tank-car petition.
