Green Plains, the ethanol producer, agreed Thursday to sell at least [$250 million](https://www.businesswire.com/news/home/20261030889914/en/Green-Plains-Enters-into-Agreement-to-Monetize-2026-45Z-Clean-Fuel-Production-Tax-Credits?ref=bullished.co) of its 2026 Section 45Z clean fuel production tax credits to two unaffiliated institutional buyers, and up to $325 million in total, according to an [8-K](https://www.bullished.co/learn/8-k-items-explained/) filed Friday. The company said $140 million in cash arrives in the fourth quarter.

## How the credit sale is structured

The credits come from ethanol produced at Green Plains' operating plants between January 1, 2026 and December 31, 2026\. Delivery of the full amount is subject to generation, availability and certain conditions. The buyers also hold an option to purchase an additional $30 million of credits beyond the $325 million, the company said in its [press release](https://www.sec.gov/Archives/edgar/data/0001309402/000162828026068462/exhibit991-pressrelease102.htm?ref=bullished.co).

The purchase price is confidential and includes a market-based discount, the filing says. Payment comes on each confirmation date, against delivery of the matching credits.

The $140 million covers credits generated through June 30, 2026\. Credits from the third and fourth quarters will be transferred and monetized in the first half of 2027, after compliance reporting is finished and closing conditions are met. Any final true-up amounts also fall in that window.

## Who is buying the credits

One buyer is a leading U.S. life insurance company that will take up to $5 million of credits in the final funding tranche. The other is an investment subsidiary of a Fortune-ranked engineering and construction company, which takes the balance. Its parent unconditionally guarantees the subsidiary's payments.

Each buyer has represented that it will have the cash or access to funds to pay. Green Plains has received audited financial statements for the insurance buyer and for the parent guarantor.

If a change in tax law limits or disallows any of the credits, Green Plains must refund the affected portion of the price with interest. The agreement stays in force for credits not affected.

## An ethanol maker turns carbon scores into cash

Green Plains produces ethanol and co-products, including distillers grains, Ultra-High Protein feed and renewable corn oil, from corn. It owns nine ethanol plants across Illinois, Indiana, Iowa, Minnesota and Nebraska, eight of them currently operating, according to its latest annual report.

The company said the credit value rests on current carbon intensity scores across its plants and assumes no added low-carbon investment or later improvements. CEO Chris Osowski said the deal turns that value into "meaningful, predictable cash flow." He said it gives Green Plains more flexibility to strengthen the balance sheet and make high-return investments.

The company said the parties may also look at expanding or extending the program to credits generated in future years.

The [$140 million lands](https://www.businesswire.com/news/home/20261030889914/en/Green-Plains-Enters-into-Agreement-to-Monetize-2026-45Z-Clean-Fuel-Production-Tax-Credits?ref=bullished.co) in the fourth quarter, and the third- and fourth-quarter credits follow in the first half of 2027.
