# Gen Digital Names Blackhawk Network CEO Talbott Roche As Independent Director

Gen Digital's board [appointed Talbott Roche](https://www.sec.gov/Archives/edgar/data/0000849399/000084939926000079/gen-20261006.htm?ref=bullished.co) as a director on October 6, effective immediately, according to an 8-K the company filed Friday. The board determined she is "independent" under Nasdaq's listing standards.

## What the 8-K says about Roche

Roche has been CEO and a board member of Blackhawk Network Holdings, which the filing calls a leading prepaid payment company, since 2016, and its president since 2010\. The filing says she led it through multiple acquisitions and a 2018 take-private deal, and expanded it into business-to-business services.

She also sat on the board of Electronic Arts from 2016 until August 4, 2026\. Earlier jobs listed include branding consultant and director of new business development at Landor Associates, plus executive roles at News Corporation. She holds an economics degree from Stanford.

The board's stated reasons are her experience scaling a global, digital-first business and her background in governance, risk management, pay design and investor engagement. The filing says no arrangement or understanding lies behind her selection, and that she has no family ties to Gen's directors or officers.

## Pay, committees and the company's line

The filing says it has not yet been decided which board committees, if any, Roche will join. She will receive a pro-rated share of the annual cash retainer and the full annual equity retainer paid to non-employee directors, as set out in the proxy statement filed July 28, 2026\. She will also sign the company's standard indemnification agreement.

CEO Vincent Pilette said in the [company's release](https://www.sec.gov/Archives/edgar/data/0000849399/000084939926000079/ex9901-talbott8xk10062026.htm?ref=bullished.co) that Roche "brings a strong track record of leading transformation and creating value through strategic expansion." The release says she moved Blackhawk from a physical gift card distribution model to a digital-first fintech platform.

Lead Independent Director Sue Barsamian pointed to Roche's public-company director experience as evidence of governance expertise. Roche said she joins "at a time when digital safety, privacy and financial wellness are increasingly connected."

Gen's release lists Norton, Avast, LifeLock, MoneyLion and Engine among its brands, and says it serves nearly 500 million users in more than 150 countries. GEN shares were $23.25, up 2.20%, in market data from Friday's session.

## What to watch

The board has yet to say which committees Roche will sit on, if any.

Her committee assignments are the one open item the 8-K leaves for a later filing or announcement.
