[Expand Energy](https://www.bullished.co/tag/exe/)'s purchase of Twin Eagle created about [$349 million of goodwill](https://www.sec.gov/Archives/edgar/data/0000895126/000089512626000068/exe-20260930.htm?ref=bullished.co), the first the company has carried, according to its 10-Q filed Tuesday. Expand, which produces natural gas, along with some oil and natural gas liquids, from onshore US fields, also now reports two segments instead of one.

## Goodwill and a preliminary price tag

Goodwill is the premium paid over the fair value of identifiable assets. The filing says Expand had none before the deal, and that it expects about $242 million of the total to be deductible for U.S. tax purposes. The company attributes the amount mainly to expected operational and commercial synergies.

The allocation is preliminary, and the company expects to finish it within 12 months of the acquisition date. The purchase price is now about $1.4 billion including adjustments. The [prior quarter's filing](https://www.sec.gov/Archives/edgar/data/0000895126/000089512626000047/exe-20260630.htm?ref=bullished.co) put it at about $1.25 billion.

Twin Eagle, a natural gas marketing and logistics provider, closed on September 16\. Of $1,089 million in acquired intangibles, $641 million are customer relationships and $432 million are transportation and storage contracts. The contracts are amortized on an accelerated basis, estimated at about $138 million in 2027 and falling to $20 million in 2031\. In its first two weeks under Expand, the business added $196 million of revenue and just $4 million of net earnings.

## From one segment to two

Before this quarter, Expand reported as a single segment and treated marketing as ancillary to drilling. It now reports Exploration and Production and Marketing separately, and prior periods were recast. Marketing earned $94 million in income from operations in the third quarter, against $546 million for E&P.

The chief executive, who makes the segment decisions, now judges performance by income from operations rather than consolidated net income.

The 10-Q also adds a risk factor: the company may fail to realize the anticipated benefits of Twin Eagle, and integration could disrupt the business. Separately, the company said in its earnings release that it expects [$80 million](https://www.globenewswire.com/news-release/2026/10/27/3389592/0/en/expand-energy-corporation-reports-third-quarter-2026-results.html?ref=bullished.co) of marketing EBITDA in the fourth quarter.

## Borrowing and a credit line with an expiry

Expand funded the deal with cash and borrowings, drawing a net $450 million on its main credit facility. It had no borrowings there a quarter earlier. It assumed Twin Eagle's credit facility, which has [$1.0 billion](https://www.globenewswire.com/news-release/2026/10/27/3389592/0/en/expand-energy-corporation-reports-third-quarter-2026-results.html?ref=bullished.co) of elected commitments and matures May 16, 2027\. About $266 million of that is tied up in letters of credit, with no borrowings outstanding.

The company says it expects the facility to stay in place for a limited time, then intends to terminate it once the letters of credit are canceled.

The filing also shows about $536 million of unsatisfied performance obligations on fixed-price gas sales contracts longer than a year. Those were assumed with Twin Eagle and are expected to be recognized over the next five years.

Expand's conference call is scheduled for 9 a.m. EDT on Wednesday, October 28.
