About [10% of Ensign Group's facilities](https://www.sec.gov/Archives/edgar/data/0001125376/000112537626000046/ensg-20260930.htm?ref=bullished.co) cannot enter the federal government's new risk-based survey program because they changed ownership after their latest standard survey, the company said in its 10-Q filed Tuesday. The same filing adds a securities fraud class action to its list of legal fights.

## Acquisitions run into the survey rules

[Ensign](https://www.bullished.co/tag/ensg/), a holding company whose independent subsidiaries run skilled nursing and senior living facilities in 17 states, grows by buying nursing homes that are frequently underperforming. The Centers for Medicare and Medicaid Services (CMS) program, effective September 8, 2026, gives qualifying higher-performing facilities a streamlined inspection. Facilities that changed owners since their last standard survey are excluded.

Despite that, 40 of Ensign's skilled nursing subsidiaries held the high-performing designation as of September 30, the filing says. CMS estimated that about 12% of nursing homes nationwide would qualify. The prior quarter's [10-Q](https://www.sec.gov/Archives/edgar/data/0001125376/000112537626000034/ensg-20260630.htm?ref=bullished.co) said only that CMS would identify qualifying facilities as high-performing; the ownership-change exclusion and the 12% estimate are new wording.

Ensign has kept buying. After quarter-end it took on 18 freestanding nursing operations plus two campus operations spread across three states, among them Florida, its 18th state. The additions bring 2,123 skilled nursing beds and 113 senior living units.

## A securities class action joins a derivative suit

A purported stockholder filed a securities class action on October 8, captioned Perusek v. The Ensign Group, in federal court in the Central District of California. The proposed class spans anyone who bought Ensign's stock or other securities from February 10, 2022 through June 18, 2026\. The suit claims misleading disclosures on compliance, care quality, staffing, CMS ratings, reimbursement and administrator licensing, and demands unspecified damages.

A shareholder derivative suit, Thompson v. Keetch, filed July 16, also remains open. Ensign says it intends to defend vigorously, cannot determine whether a loss will occur or estimate a range, and has accrued nothing. Law-firm notices put the lead-plaintiff deadline in the securities case at [December 7](https://www.prnewswire.com/news-releases/ensg-investor-class-action-filed-ensign-group-investors-are-alerted-to-the-upcoming-december-7-deadline-in-the-securities-fraud-class-action-to-recover-losses-302920205.html?ref=bullished.co).

## Credit line, buybacks and California

On August 19, Ensign amended its revolving credit facility, raising it by $200.0 million to $800.0 million and extending maturity to August 19, 2031\. It had $60.0 million outstanding at September 30\. For the nine months, it repurchased $47.4 million of stock, leaving $52.6 million of a $100.0 million authorization.

In California, Ensign's petition challenging the state health-cost regulator's review of a proposed transaction had its first hearing October 5, and the company is awaiting a ruling. The company's market value was $10.3 billion at Tuesday's session.

The California Superior Court has yet to rule on Ensign's challenge, and plaintiffs in the securities case have until December 7 to seek lead-plaintiff status.
