# Enerpac Adds A Ninth Board Seat For Charles Lauber, Retired A. O. Smith CFO, Who Joins Audit And Pay Panels

Enerpac Tool Group's board [grew from eight to nine directors](https://www.sec.gov/Archives/edgar/data/0000006955/000000695526000050/epac-20261008.htm?ref=bullished.co) on Thursday, and it filled the new seat with Charles T. Lauber, a retired chief financial officer. An 8-K filing with the SEC, signed Friday, says he took effect that day and joined two committees.

## What the 8-K says

The board passed resolutions on October 8 to enlarge itself and elected Lauber to the vacancy the expansion created. He was appointed to the Audit Committee and to the Talent Development and Compensation Committee.

The board found him independent under New York Stock Exchange and SEC rules. The filing says the finding was consistent with the recommendation of its Governance and Sustainability Committee.

Lauber will be paid as other non-employee directors are. The filing points to the pay described on page 46 of the proxy statement for the February 4, 2026 annual meeting. Enerpac also intends to sign an indemnification agreement with him, in the form filed with its 10-K for the fiscal year ended August 31, 2025.

## Who Lauber is

Enerpac's [press release](https://www.sec.gov/Archives/edgar/data/0000006955/000000695526000050/exhibit991.htm?ref=bullished.co) says Lauber was executive vice president and CFO of A. O. Smith from 2019 to 2026, and retired earlier this year. It describes him as having more than 40 years of experience in finance, strategy, mergers and acquisitions, investor relations, capital allocation and global operations.

Before joining A. O. Smith in 1999, he spent 15 years at Ernst & Young LLP, where he rose to senior manager. He currently sits on the board of H.B. Fuller, where he is a member of the Audit Committee and the Personnel & Compensation Committee.

He holds an accounting degree from the University of Wisconsin-Whitewater and an MBA from Northwestern University's Kellogg School of Management.

## What it changes

The change is to the board's size and committee makeup. Lauber now sits on the panels that oversee Enerpac's audits and executive pay.

Chairman Jim Ferland said Lauber's "extensive financial leadership, strategic insight, and public company governance experience will be a tremendous asset" to the board. Lauber said Enerpac "has built a strong reputation in heavy industrial tools, services and solutions."

EPAC shares were priced at $34.91 in Friday pre-market trading as of 8:45 a.m. ET, down 0.48% (market data).

The next filing to check is Enerpac's indemnification agreement with Lauber, which the 8-K says will follow the form filed as Exhibit 10.1 to its fiscal 2025 10-K.
