# Eaton Faces $410 Million IRS Claim For 2014-2016 As Stock Jumps 7%

The IRS has issued [Eaton](https://www.bullished.co/tag/etn/) notices of deficiency seeking [$290 million in additional taxes plus $120 million in penalties](https://www.sec.gov/Archives/edgar/data/0001551182/000155118226000040/etn-20260930.htm?ref=bullished.co) for tax years 2014-2016, according to the power management company's 10-Q filed Tuesday. Shares rose about 7% in Tuesday trading, the same day Eaton reported record third-quarter sales.

## A transfer-pricing fight, round two

The notices are dated October 27 and went to Eaton's U.S. subsidiaries, net of agreed credits and deductions. The administrative appeals process with the IRS ended without resolution, the filing says.

The proposed assessments cover issues similar to those already in litigation for 2011-2013\. Two concern goods shipped to U.S. affiliates from plants in Puerto Rico, the Dominican Republic and Mexico, and priced between related companies. The third disputes the interest rate on intercompany debt and what Eaton charged affiliates for guaranteeing external borrowing.

The [prior quarter's 10-Q](https://www.sec.gov/Archives/edgar/data/0001551182/000155118226000030/etn-20260630.htm?ref=bullished.co) carried no such paragraph in its tax note.

## Tax Court by January 25

Eaton says it will "vigorously defend" its positions, filing a petition with the U.S. Tax Court by January 25, 2027\. Litigation generally takes several years to resolve, the company says.

Eaton expects final resolution to have no material impact on its financials and considers its reserve for unrecognized tax benefits appropriate. It also warns that if an outcome deviates from expectations, resolution "may have a material adverse impact."

## Record sales, borrowed-money buildout

Eaton makes power management products for data center, utility, industrial, commercial, aerospace and mobility customers. Third-quarter sales were a [record $8.9 billion](https://www.sec.gov/Archives/edgar/data/0001551182/000155118226000037/etn09302026exhibit99.htm?ref=bullished.co), up 28%, with organic growth of 19%. Total backlog stood at about $26.2 billion at September 30, with roughly 72% targeted for delivery within twelve months.

The company has spent 2026 buying. It paid $9.55 billion for Boyd Thermal in March and signed a €810 million deal for Italy's COL Group in September, expected to close in the first quarter of 2027\. Long-term debt was $17,802 million at September 30, against $8,758 million at the end of 2025.

Separately, Eaton plans to split off its Mobility business and combine it with Dana in a Reverse Morris Trust, expected to close in the first four months of 2027.

Eaton's Tax Court petition is due by January 25, 2027, and the Dana transaction is slated to close in the first four months of 2027.
