Dillard's, not the exchange, filed a [Form 25](https://www.sec.gov/Archives/edgar/data/0000028917/000110465926113491/tm2626135d3%5F25.htm?ref=bullished.co) on Monday asking the New York Stock Exchange to withdraw its Class A common stock from listing and registration. The notice gives no reason for the move.

## What the Form 25 says

The security is Dillard's Class A Common Stock, [$0.01 par value](https://www.sec.gov/Archives/edgar/data/0000028917/000110465926113491/tm2626135d3%5F25.htm?ref=bullished.co) per share. The company ticks the box for 17 CFR 240.12d2-2(c), the rule for an issuer's voluntary withdrawal of a class of securities, and certifies that it has met the exchange's rules and that rule's requirements.

The box for 12d2-2(b), which covers an exchange striking a security under its own rules, is not checked. So this is the company asking to leave, not the NYSE removing it.

Dean L. Worley, the company's vice president and general counsel, signed the form, which is dated October 5, 2026\. The form lists the company's address as 1600 Cantrell Road, Little Rock, Arkansas.

## What the notice leaves out

The form does not state why Dillard's wants out. It does not mention a merger, a move to another exchange or a going-private deal, so any such explanation is not in the document.

A Form 25 ends the listing of the stock. It says nothing in itself about the company's operations, and nothing in the notice suggests Dillard's is closing or in distress.

## Where the stock stood

Shares closed at $654.11 on Friday, before the filing, according to market data. The company's market capitalization was $10.2 billion as of the filing, and the stock was up 1.20% in the figures taken Monday at 7:17 a.m. ET, before the notice's market impact could be read.

The notice is the only disclosure so far: a voluntary withdrawal certified by the general counsel, with no stated reason.
