# Digital Realty Starts Marketing Green-Labeled Euro Notes, Size And Pricing Still Open

Digital Realty's finance subsidiary [began an offering](https://www.sec.gov/Archives/edgar/data/0001297996/000119312526414921/d178810d8k.htm?ref=bullished.co) of euro-denominated guaranteed notes on Tuesday, according to an 8-K filed the same day. The filing gives no size, coupon or maturity; those will be set at pricing.

## What the 8-K says

Digital Euro Finco, LLC, a wholly owned indirect finance subsidiary of the operating partnership, is the issuer. The notes would be senior unsecured obligations, fully and unconditionally guaranteed by Digital Realty Trust, Inc. and the operating partnership.

The filing says completion depends on market and other conditions, and that final terms will be fixed at pricing.

The notes are offered only outside the United States under Regulation S. They are not registered under the Securities Act and cannot be offered or sold in the U.S. or to U.S. persons without registration or an exemption.

The company says it intends to allocate an amount equal to net proceeds to "Eligible Green Projects." The filing's list includes renewable energy, energy efficiency, clean transportation and green building, among other categories.

## Where the money can go in the meantime

Until it is allocated to green projects, the filing says an amount equal to the net proceeds may temporarily repay borrowings under the operating partnership's global revolving credit facilities. It may also fund property or business acquisitions and development, or go into interest-bearing accounts and short-term securities consistent with REIT status.

The same passage allows working capital and general corporate purposes, including repaying other debt or redeeming or repurchasing equity or debt securities.

## The Swiss franc deal that came first

The 8-K also covers an earlier financing. On September 28, Digital Constellation B.V., another wholly owned indirect finance subsidiary, priced three tranches of guaranteed Swiss franc notes.

- CHF185.0 million of 2.0600% notes due 2032.
- CHF100.0 million of 2.4150% notes due 2036.

They are expected to be issued Tuesday, subject to customary closing conditions. Net proceeds are expected to be about CHF508.4 million after commissions and expenses.

The company plans to use that money to temporarily repay revolver borrowings, buy properties or businesses, fund development and cover general corporate purposes. The Swiss notes carry an additional guarantee from Digital Intrepid Holding B.V., which holds the Interxion business.

## What to watch

Pricing of the euro notes will show their size, coupon and maturities. Issuance of the Swiss franc notes, expected Tuesday, is also still pending. The filing warns there is no assurance either transaction will be completed on the terms described.

The euro notes' terms come at pricing, and the filing, signed by General Counsel Jeannie Lee, gives no date for it.
