CRH, the Ireland-based company, finished its purchase of Arcosa on Friday, paying [about $7.5 billion](https://www.sec.gov/Archives/edgar/data/0001739445/000114036126040596/ef20084131%5F8k.htm?ref=bullished.co) in cash at $150.00 a share, according to an 8-K. Arcosa, which makes infrastructure products for construction, engineered structures and transportation markets in North America, no longer trades publicly.

## $150 in cash for every share

A merger subsidiary of CRH Americas folded into Arcosa, which survives as a wholly owned subsidiary. Each common share converted into the right to receive $150.00 in cash, without interest. The roughly $7.5 billion total covers common stock and cash-settled equity awards.

Unvested restricted stock and stock unit awards granted before June 21, 2026 vested at closing and were paid out at the same $150.00 price, plus any accrued dividend equivalents. Performance-based awards were counted at the greater of 100% of target or actual performance achieved.

CRH Americas paid with loans under a $3.25 billion bridge facility and a $2.5 billion term loan facility, both with J.P. Morgan SE as agent, plus cash on hand.

## Board gone, shares delisted

Every Arcosa director resigned and every officer stepped down at closing; the filing says none of it involved a disagreement with the company. The merger subsidiary's directors and officers now run Arcosa, which keeps its name. Its new certificate of incorporation limits it to 100 authorized shares at $0.01 par value, according to the [charter exhibit](https://www.sec.gov/Archives/edgar/data/0001739445/000114036126040596/ef20084131%5Fex3-1.htm?ref=bullished.co).

Arcosa asked the NYSE and NYSE Texas to halt trading before Friday's open and to delist the stock, and trading was halted. Shares closed Thursday at $149.15\. After the delisting takes effect, the company intends to file a Form 15 with the SEC, ending its public reporting obligations.

It also terminated its JPMorgan Chase Bank credit agreement, which provided a $700 million revolver and a $700 million term loan. Arcosa repaid about $450.1 million in principal, interest and other amounts, and said it incurred no material early termination fees.

## From June agreement to close

Arcosa signed the merger agreement on June 21, 2026, and stockholders approved it at a special meeting on September 4, 2026.

The company's segments produce aggregates and asphalt mix, steel and concrete utility and wind tower structures, and inland barges. GE Vernova accounted for 12.2% of its 2025 revenues, according to its annual report.

With the Form 15 to come, Arcosa's next public filing may be its last.
