[Commvault](https://www.bullished.co/tag/cvlt/), which sells software that protects and recovers data after cyberattacks and outages, has rebuilt its headline recurring-revenue yardstick: Subscription ARR now includes enterprise support, and Total ARR is [no longer disclosed](https://www.sec.gov/Archives/edgar/data/0001169561/000116956126000035/cvlt-20260930.htm?ref=bullished.co), according to its 10-Q filed Wednesday. On the new basis, growth rates trail last year's.

## A redefined yardstick, slower growth

Before fiscal 2027, enterprise support counted only toward Total ARR. Commvault says the change brings the metric closer to Subscription revenue.

Subscription ARR was $1,103.9 million at September 30, 2026, up 20% from $918.1 million a year earlier. Growth a year ago, on the same basis, was 29%.

SaaS ARR reached $454.4 million, up 35% against 56% a year earlier. Subscription NRR, which gauges net expansion among existing customers, was 113% versus 114%.

The filing also relabels these figures. The [prior quarter's 10-Q](https://www.sec.gov/Archives/edgar/data/0001169561/000116956126000024/cvlt-20260630.htm?ref=bullished.co) called them non-GAAP measures; this one calls them "operating metrics".

## SaaS revenue cools, margins widen

SaaS revenue rose 33% in the quarter, down from 39% growth in the prior quarter. The earlier filing credited growth from both new and existing customers; the new one cites the continued expansion of the SaaS business and revenue recognized from contracts signed in current and prior periods.

Total revenue was [$312.4 million](https://www.marketwatch.com/story/commvault-2q-profit-revenue-rise-as-ai-drives-demand-for-data-recovery-identity-protection-6401bf11?ref=bullished.co), up 13%, and subscription revenue was 86% of the total. Gross margin rose to 81.2% from 80.1%, and SaaS gross margin reached 70.0% from 63.5%. Net income was $29.1 million against $14.7 million a year earlier.

Remaining performance obligations, including deferred revenue, were $1,074.7 million, with about 58% expected to be recognized within twelve months.

## Buybacks, convertible notes and lawsuits

Over six months Commvault repurchased $119.3 million of stock, leaving $130.7 million authorized. Its $900.0 million of convertible notes, due in 2030, carried an estimated fair value of $842,841 thousand.

The company and some current and former officers face securities class actions in federal court in New Jersey. Related derivative suits were consolidated in August 2026 and paused. Commvault says it cannot estimate the impact and has recorded no accrual.

The company also recognized $6,500 thousand under a performance-based pricing and packaging arrangement. It was completed in the second quarter with nothing more payable.

Cash stood at $897.3 million at September 30, 2026, and the revolving credit facility was undrawn.
