# Coherent's Proxy Notice Lists Four Director Nominees, A Pay Vote And Ernst & Young, With No Shareholder Proposals

Coherent's board is recommending shareholders vote for all four of its director nominees, the advisory executive-pay vote and Ernst & Young as auditor, according to a [DEFA14A filing](https://www.sec.gov/Archives/edgar/data/0000820318/000110465926114850/tm264288d9%5Fdefa14a.htm?ref=bullished.co), an additional proxy filing, dated Friday. The annual meeting is on November 18, and voting closes at 11:59 p.m. ET on November 17.

## What the notice asks shareholders to vote on

Item 1 is the election of four Class Three directors, each for a three-year term expiring at the 2029 annual meeting: Joseph J. Corasanti, Patricia Hatter, Stephen A. Skaggs and Sandeep Vij. The board marks each one "For."

Item 2 is a nonbinding advisory vote on pay for named executive officers in fiscal year 2026\. The board recommends "For."

Item 3 asks shareholders to ratify the Audit Committee's pick of Ernst & Young LLP as independent auditor for the fiscal year ending June 30, 2027\. The board recommends "For" here too.

The notice also allows for "such other business as may properly come before the meeting or any adjournment thereof." It lists no shareholder proposals.
