# ClearBridge Reports 4.4% Passive Stake In Clearway Energy, With 6,068,549 Shares Across Its Entities

ClearBridge Investments Ltd disclosed a [4.4% stake](https://www.sec.gov/Archives/edgar/data/0001348883/000134888326000024/xslSCHEDULE%5F13G%5FX01/primary%5Fdoc.xml?ref=bullished.co) in [Clearway Energy](https://www.bullished.co/tag/cwen/)'s Class C common stock, or 5,279,011 shares, in a passive ownership filing made Monday. Counting two affiliates, the ClearBridge group reports 6,068,549 shares in aggregate, with September 30 listed as the event date.

## Three ClearBridge entities, one position

The 4.4% figure covers ClearBridge Investments Ltd alone, and [all 5,279,011 shares](https://www.sec.gov/Archives/edgar/data/0001348883/000134888326000024/xslSCHEDULE%5F13G%5FX01/primary%5Fdoc.xml?ref=bullished.co) carry sole voting power. The percentage is measured on the cover page's Rule 13d-3 basis, which counts shares a holder could acquire within 60 days.

ClearBridge Investments (North America) Pty Ltd reported 776,213 shares, or 0.6% of the class, also with sole voting power. ClearBridge Investments, LLC reported 13,325 shares, rounding to 0% of the class.

Each entity certified that the shares were bought and are held in the ordinary course of business, not to change or influence control of Clearway.

## A power-plant owner with contracted revenue

Clearway Energy owns power plants across North America and earns most of its revenue from long-term contracts to sell their output or capacity. Its portfolio runs to about [13.9 GW of gross capacity](https://markets.ft.com/data/announce/detail?dockey=1330-9849141en-2OA22H9E1JF4CRMPQOSJUL88VN&ref=bullished.co) across 27 states, mostly wind, solar and battery storage, plus roughly 2.8 GW of flexible dispatchable generation.

The company is sponsored by Clearway Energy Group and aims to give investors stable and growing dividend income.

Shares traded at $33.29 in Monday trading, up about 4% from the prior close of $32.03, for a market value of about $3.9 billion.

Clearway reports third-quarter 2026 results on November 9, with a conference call and webcast at 5:00 p.m. Eastern.
