Cirrus Logic said Tuesday it has [bought INVENTVM](https://www.sec.gov/Archives/edgar/data/0000772406/000077240626000045/oct2026pressrelease.htm?ref=bullished.co), a chip designer based in Pavia, Italy, in a deal whose price it did not disclose. An [8-K filing](https://www.sec.gov/Archives/edgar/data/0000772406/000077240626000045/crus-20261006.htm?ref=bullished.co) furnished the press release, and the company said the purchase will not have a material impact on its revenue.

## What the filing and release say

The 8-K, signed by Chief Financial Officer Jeff Woolard, was filed under Item 7.01, a disclosure category for information the company chooses to furnish. The filing says it is not treated as "filed" under Section 18 of the Securities Exchange Act. It was accepted at 4:01 p.m. ET.

The press release describes the target as a fabless semiconductor company, meaning one that designs chips without owning a factory. It specializes in mixed-signal power management and audio integrated circuits. The release says INVENTVM brings engineering expertise, intellectual property and an established presence in a region where Cirrus Logic intends to expand further.

The release says financial terms were not disclosed. It gives no purchase price, no payment structure and no closing timetable, since it describes the deal as already done.

## What it changes

For holders, the stated effect on the income statement is small: no material revenue impact. What the company is buying is capacity. CEO John Forsyth said the company's pipeline of opportunities is "the strongest we've ever had," and that the deal adds IP, engineering capacity and talent depth to support growth in new applications and markets.

Forsyth also said the two teams have worked together closely for several years, so Cirrus Logic knows the team it is absorbing. INVENTVM CEO Michele Chiabrera said the relationship was built over many years of collaboration. He said joining Cirrus Logic should create opportunities to advance the technology and support customers.

Cirrus Logic shares were unchanged at $118.87 in Tuesday after-hours trading versus the regular-session close, according to market data.

## What to watch

The release's forward-looking statements list integration of the businesses among the risks to the deal's expected benefits. They also name changes in government trade policies, including tariffs or export restrictions, and global economic conditions.

With no price disclosed, the company's own words on revenue, \\"not have a material impact,\\" are the only financial measure the filing offers.
