Cimpress CEO Robert Keane's fiscal 2026 pay totaled [$8,999,972](https://www.sec.gov/Archives/edgar/data/0001262976/000126297626000032/cmpr-20261027.htm?ref=bullished.co), down from $10,849,447 the year before, which works out to 380 times the $23,693 earned by the median employee, according to the company's annual proxy filing on Tuesday. The same filing shows older awards tied to the share price began expiring worthless in August 2026.

## Pay down, ratio at 380 to 1

Cimpress, which makes customized marketing products and branded merchandise through brands such as VistaPrint, said $7,999,972 of Keane's total was performance share units, stock awards that pay only if targets are met. His salary was $1,000,000.

The proxy also gives a second ratio. Realized pay, meaning salary plus the value of shares that vested during the year, was [$5,477,289](https://www.sec.gov/Archives/edgar/data/0001262976/000126297626000032/cmpr-20261027.htm?ref=bullished.co), which yields a ratio of 231 to 1.

Under SEC rules, the pay-versus-performance table puts Keane's "compensation actually paid" at $32,189,664, against negative $20,054,856 in fiscal 2025\. Cimpress shareholder return was $93.81 on a $100 investment, versus $117.87 for the RDG Internet Composite Index. The company said the committee did not consider that measure in setting pay.

## Awards paid 92% of target

The fiscal 2026 awards were based on variable gross profit and adjusted EBITDA, weighted 50% each. Cimpress results earned a 92% multiplier: 89.79% attainment on gross profit and 95.17% on adjusted EBITDA. VistaPrint results earned 93%.

A 60% minimum payout, adopted for fiscal 2025 awards, continues. Adding it that year raised the grant-date value booked for Keane by $1,839,074.

The committee dropped revenue and unlevered free cash flow as metrics, saying working-capital timing can create volatility that does not reflect operating performance. It engaged no outside compensation consultant and removed Squarespace from its peer group, leaving 13 companies, because it was no longer public.

## Legacy awards begin to lapse

Older awards pay only if the three-year moving average of Cimpress's share price grows at set annual rates, from 7% to 20% or more. None has ever paid out. In August 2026, for the first time, some reached their final measurement dates short of the minimum and expired with no shares issued.

Thresholds are higher for future dates, which the proxy says makes issuance unlikely without a dramatic and sustained rise in the share price. Cimpress had a market value of about $2.0 billion in the original report.

Shareholders cast an advisory vote on executive pay, and on reappointing director Sophie Gasperment, at the annual meeting on December 8, 2026.
