# Centene Will Pay Off All Remaining $568.7 Million Of Its 2027 Notes On October 23

Centene delivered a notice on Thursday to redeem all of the remaining [$568,664,000](https://www.sec.gov/Archives/edgar/data/0001071739/000107173926000186/cnc-20261008.htm?ref=bullished.co) of its 4.25% Notes due December 15, 2027, according to an 8-K filed with the SEC. The redemption date is October 23, 2026.

## What the 8-K says

The filing, made under [Item 8.01](https://www.sec.gov/Archives/edgar/data/0001071739/000107173926000186/cnc-20261008.htm?ref=bullished.co) (other events), says Centene sent the redemption notice on October 8 under the terms of the notes and an indenture dated December 6, 2019\. The indenture is the contract between Centene and The Bank of New York Mellon Trust Company, N.A., which acts as trustee.

The price is 100% of principal, plus accrued and unpaid interest, if any, up to but excluding the redemption date. Holders get face value with no premium.

The filing states that once the redemption is done, ["there will be no 2027 Notes outstanding."](https://www.sec.gov/Archives/edgar/data/0001071739/000107173926000186/cnc-20261008.htm?ref=bullished.co) It adds that the 8-K itself is not the notice of redemption. That notice went to holders separately.

The report was signed by Christopher A. Koster, Executive Vice President, Secretary and General Counsel.

## What it changes

The entire remaining balance of this note issue is repaid on October 23, 2026, ahead of its December 15, 2027 maturity. The filing does not say how the company will fund the payment, and it gives no reason for redeeming early.

For noteholders, the practical effect is repayment of principal on October 23 instead of at maturity on December 15, 2027.

CNC shares traded at $63.56 in Thursday trading, down about 2% from the prior close of $64.99 (market data). The filing does not link the price to the redemption.
