CECO Environmental plans to move the primary listing of its stock from Nasdaq to the Texas Stock Exchange, according to an [8-K filed Monday](https://www.sec.gov/Archives/edgar/data/0000003197/000119312526413794/ceco-20261002.htm?ref=bullished.co). Nasdaq trading is expected to end at the close on October 16, with the first Texas session at the open on October 19.

## What the 8-K says

The filing's Item 3.01 says the company notified Nasdaq's Global Select Market on October 2 that it intends to voluntarily withdraw its primary listing, acting on authorization from its Board of Directors. The stock has already been approved for listing on the Texas Stock Exchange, known as TXSE, where it will keep the symbol "CECO."

The [press release](https://www.sec.gov/Archives/edgar/data/0000003197/000119312526413794/ceco-ex99%5F1.htm?ref=bullished.co) says the shares keep their existing CUSIP, the security identifier, and that stockholders need not take any action. The timetable is subject to customary conditions.

CECO says the transfer is not expected to affect operations, financial condition, reporting obligations or stockholders' rights. The company describes itself as the first multi-industrial company to make this move. The filing was signed by Chief Financial Officer Peter Johansson.

## What the executives said

Todd Gleason, CECO's Chairman and Chief Executive Officer, said the move builds on the company's Texas presence, which includes its global headquarters in Addison and a large employee base in the state. He called Texas "the most dynamic economic market in the United States." The release says the transfer reflects strategic alignment with Texas as a growing center for business, innovation and capital markets.

Gleason also thanked Nasdaq for its "partnership and support" during CECO's growth as a public company.

TXSE Chairman and CEO James H. Lee said a company like CECO "can list anywhere — and today it chose Texas."

## What it changes, and the risks listed

For holders, the practical change is the venue, not the ticker or the security. The release's forward-looking statements name risks: delays in implementing the transfer, potential market disruptions in trading the stock, and the chance that approvals, conditions or regulatory requirements are not met on schedule or at all.

CECO shares traded at $76.08 in Monday trading, up 3.29% from the prior close of $73.66, according to market data. The filing was accepted at 12:37 p.m. ET Monday.

The dates to mark are Friday, October 16, the expected last Nasdaq session, and Monday, October 19, the planned first session on TXSE.
