[CBIZ](https://www.bullished.co/tag/cbz/), the accounting, tax, advisory and benefits firm for middle-market businesses, won stockholder approval Tuesday for its merger with Viking ParentCo, with [39,198,360 shares voted in favor](https://www.sec.gov/Archives/edgar/data/0000944148/000119312526434465/d184170d8k.htm?ref=bullished.co). The company said in an 8-K that it expects to close the deal on or about November 2.

## The vote count

Against the merger were [1,180,759 shares](https://www.sec.gov/Archives/edgar/data/0000944148/000119312526434465/d184170d8k.htm?ref=bullished.co), and 60,250 abstained. Holders of 40,439,369 shares, or 73.6% of the shares outstanding and entitled to vote as of the September 16 record date, were present at the virtual meeting or voted by proxy.

The deal needed a majority of all outstanding shares entitled to vote, and it got that.

Stockholders also approved, in a non-binding advisory vote, the pay that named executive officers may receive in connection with the merger. That tally was 37,188,161 for, 3,130,664 against and 120,544 abstaining.

A third item, a proposal to adjourn the meeting to gather more votes, was never presented because the merger already had enough support.

## How the merger is structured

CBIZ signed the merger agreement on July 28 with Viking ParentCo and its subsidiary Viking MergerCo. Under the structure, MergerCo will merge into CBIZ, which will survive as a wholly owned subsidiary of Viking ParentCo.

The company expects to close on or about November 2, in line with the terms of the merger agreement.

## A middle-market services firm

CBIZ, per its annual report for 2025, works through three practice groups. Financial Services, covering accounting, tax, advisory, technology and government health care consulting, made up 83.4% of 2025 revenue. Benefits and Insurance Services, which includes employee benefits, payroll, property and casualty insurance brokerage and retirement services, made up 14.9%.

National Practices, which provides managed networking and hardware services to a single client, made up 1.7%. The company has more than 9,500 team members across more than 140 locations in 23 major markets.

If the timetable holds, the deal closes on or about November 2, less than a week after the vote.
