The board will go from eight members to seven on that date.

## What the 8-K says

The filing, made under Item 5.02 (the section covering director and officer departures), says Baratta [notified the board](https://www.sec.gov/Archives/edgar/data/0001393818/000119312526422888/d59966d8k.htm?ref=bullished.co) on October 9 of his intention to resign as a director. His planned retirement from Blackstone is the stated context.

Baratta remains a director until the effective date, December 31, 2026.

## What it changes

The filing names no successor. Instead, it says the board's size will be reduced from eight members to seven as of the effective date, so his seat goes away rather than being filled.

For holders, the practical change is a smaller board from year-end. Blackstone shares closed at $109.20 at Thursday's close, up 2.82% on the session; the filing was accepted by EDGAR at 4:12 p.m. ET Thursday.
