# AutoNation Seats Goodyear CEO Mark Stewart As Tenth Director, An 8-K Shows

AutoNation's board [increased its size to ten directors](https://www.sec.gov/Archives/edgar/data/0000350698/000162828026066051/an-20261013.htm?ref=bullished.co) and appointed Goodyear CEO Mark Stewart as an independent director, according to an [8-K](https://www.bullished.co/learn/8-k-items-explained/). The appointment took effect October 13, and the company announced it Friday.

## What the 8-K says

The board decided Stewart qualifies as independent under AutoNation's governance guidelines and the New York Stock Exchange's listing standards, the filing says. His seat is a new one, created when the board grew to ten.

He joins the non-employee director pay program: a $50,000 annual board retainer, prorated for 2026 by time served, plus reimbursement of expenses tied to meetings. He is also eligible for future equity awards under the 2024 Non-Employee Director Equity Plan.

The filing does not list committee assignments.

## Who Stewart is

AutoNation's [press release](https://www.sec.gov/Archives/edgar/data/0000350698/000162828026066051/an8knewdirectorex991.htm?ref=bullished.co) says Stewart has been CEO and president of The Goodyear Tire & Rubber Company, and a member of its board, since January 2024.

Before Goodyear he was North America chief operating officer at Stellantis and a member of its Group Executive Council, leading a business with more than 88,000 employees and over $90 billion in revenue. Earlier, he was Amazon's vice president of customer fulfillment and held senior roles at ZF TRW Automotive, TRW and Tower Automotive.

AutoNation Chairman Rick Burdick said Stewart's "track record of leading complex organizations through transformation will strengthen the Board."

## What it changes

For holders, the board has one more independent member and a sitting CEO from the tire industry. AutoNation shares closed at $159.80 at Thursday's close, up about 4%, before the news was public Friday at 8:31 a.m. ET.

Any committee seats for Stewart, and any equity awards under the director plan, would appear in later company filings.
