# AngioDynamics' Incoming CEO Gets $735,000 Salary, 95% Bonus Target And $350,000 Sign-On Cash

AngioDynamics will pay incoming CEO Eric Honroth a [$735,000 base salary](https://www.sec.gov/Archives/edgar/data/0001275187/000114036126039019/ef20083270%5F8k.htm?ref=bullished.co) and a target bonus of 95% of that figure, according to an 8-K filed Thursday. The board appointed him on Friday, October 2, and he signed his employment agreement the next day.

## What the 8-K says about pay

Honroth's bonus in his first calendar year is prorated from the November 2 start date. He is also eligible for annual long-term awards under the company's 2020 equity plan, set at the discretion of the compensation committee and board.

On starting, he receives a long-term grant valued at $1,487,116, split evenly between restricted stock units and performance share units. The filing says that figure equals 350% of base salary, prorated for the fiscal year.

Two more items cover his move from his prior employer: a one-time grant of restricted stock units valued at $450,000, vesting in two equal installments on the first and second anniversaries, and a $350,000 cash sign-on bonus.

The sign-on bonus must be repaid within ninety days if he resigns without good reason or is fired for cause before the first anniversary. No repayment is due after death, disability, a firing without cause or a resignation for good reason.

He also gets a $10,000 monthly commuting and temporary living allowance for up to 24 months, tied to travel to New York, plus a $24,000 annual car allowance.

## Severance and change-in-control terms

If the company fires Honroth without cause, or he leaves for good reason, he gets 18 months of salary, any earned but unpaid prior-year bonus, 18 months of company-paid health coverage, and 12 more months of vesting on outstanding equity.

If a change in control occurs and he is terminated without cause or leaves for good reason within 24 months afterward, the terms shift. He would receive 24 months of salary, a lump sum equal to his target bonus, 18 months of health coverage and immediate full vesting of unvested equity.

The agreement runs an initial one-year term and renews automatically each year unless either side gives written notice at least sixty days before the anniversary.

## Clemmer's exit and other changes

Jim Clemmer, CEO since April 2016, planned to retire on the earlier of November 30 or the appointment of a successor. Under a consulting agreement signed October 5, he will receive $30,000 a month until the first anniversary of November 2\. The filing says his retirement did not stem from any disagreement with the company.

The board also approved retention agreements with the executive team, excluding Clemmer. Those who are terminated other than by resignation or for cause after the new CEO starts would get accelerated equity.

Honroth, 55, was president of life science at Getinge AB from 2018 to 2026\. He earlier held senior roles at Abbott Vascular, Becton Dickinson, CareFusion and Boston Scientific. He also joins the board November 2.

Howard Donnelly, a director since 2004, told the board on October 2 that he will retire at the end of his current term.
