Anavex Life Sciences shareholders voted Thursday to keep the company's own six board nominees and turn away every candidate put forward by activist investor PVG Asset Management — but winning the vote came with an unintended consequence. The contested nature of the election itself [triggered a change-in-control provision](https://www.sec.gov/Archives/edgar/data/0001314052/000173112226001294/e7977%5F8-k.htm?ref=bullished.co) under three company incentive plans, causing every outstanding unvested equity award to vest immediately, according to an 8-K filed Monday with the SEC.

## How A Shareholder Win Became A Change-In-Control Event

The mechanism is buried in Anavex's own plan documents. Under the company's 2015, 2019, and 2022 omnibus incentive plans — and under the employment agreement with Principal Financial Officer Sandra Boenisch — a "Board Change CIC" occurs whenever "Incumbent Directors" fall below a majority of the board during any 24-month window.

The definition of Incumbent Director is the key: it covers board members who served at the start of that window, or who were subsequently approved by a majority of sitting Incumbents — but it explicitly excludes anyone whose initial election was connected to an actual or threatened proxy contest.

That exclusion is what caught three of the six newly seated directors. Dr. Axel Paeger was first appointed by the board itself in February 2026 to fill a vacancy, but his subsequent election by stockholders at the annual meeting occurred during a contested proxy fight, stripping him of Incumbent status. Gautam Patel and Dr. Adrian Senderowicz were elected to the board for the first time at the annual meeting — also in a contested context — so they too fall outside the Incumbent definition.

The result: only Dr. Jiong Ma, Dr. Peter Donhauser, and Dr. Claus van der Velden qualify as Incumbent Directors after the meeting, leaving Incumbents as fewer than a majority of the six-member board. That shortfall [automatically triggered the Board Change CIC](https://www.sec.gov/Archives/edgar/data/0001314052/000173112226001294/e7977%5F8-k.htm?ref=bullished.co), and all outstanding unvested awards under the three incentive plans — including those held by Boenisch — immediately became fully vested and exercisable. The unvested awards held by the three Incumbent Directors, Ma, Donhauser, and van der Velden, also accelerated as a result.

Anavex had disclosed this potential consequence in its definitive proxy statement filed with the SEC on August 11, 2026.

## The Vote Itself: A Decisive Rejection Of PVG's Slate

The shareholder vote was not close. About 54.2 million shares were present or represented by proxy at the September 24 annual meeting — roughly 58.51% of outstanding common stock as of the July 31, 2026 record date, according to the filing.

All six company nominees won by comfortable margins. Dr. Adrian Senderowicz drew the strongest support among the company slate, with about 47.3 million votes in favor. Dr. Jiong Ma received the narrowest margin of the six, with roughly 37.0 million votes for and about 14.3 million against.

PVG Asset Management's six nominees fared far worse. Dale Curtis Hogue Jr., the highest vote-getter among the activist slate, received approximately 12.2 million votes in favor — compared with more than 23.2 million votes against. The weakest PVG candidate, Ralf von Ziegesar, drew only about 6.4 million votes in favor versus roughly 28.7 million against.

In a separate proposal, shareholders ratified Grant Thornton as the company's independent auditor for the fiscal year ending September 30, 2026, with about 49.4 million votes in favor. Because the annual meeting was contested, there were no broker non-votes on either proposal, the filing notes.

The independent inspector of the election delivered its certified final vote tabulation on Monday, four days after the meeting.

## What To Watch

The immediate question is whether the accelerated vesting of awards held by the three Incumbent Directors — Ma, Donhauser, and van der Velden — produces any material equity-related disclosures in subsequent filings.

The broader question is what PVG Asset Management does next. The firm waged a full proxy contest, nominated six directors, and came away with nothing — its best candidate received barely half the votes of the company's weakest nominee. Whether PVG pursues further activist action or exits its position remains to be seen.

AVXL shares fell about 5% to $1.80 in Friday trading, according to market data.

The 8-K, signed by Boenisch in her capacity as Principal Financial Officer, was filed Monday — the same day the inspector certified the vote results from the September 24 meeting.
