# Amplitude Names Statsig Founder And OpenAI's Vijaye Raji To A New Ninth Board Seat

Amplitude's board [appointed Vijaye Raji](https://www.sec.gov/Archives/edgar/data/0001866692/000119312526422944/d446234d8k.htm?ref=bullished.co) as a Class III director on Thursday, filling a new seat that lifts the board from eight to nine members, according to an [8-K](https://www.bullished.co/learn/8-k-items-explained/). Raji founded Statsig and is now CTO of Applications at OpenAI.

## What the 8-K says

Raji's initial term runs to the company's 2027 annual meeting of stockholders. He was also named to the board's Cybersecurity Committee.

As a non-employee director, he is paid under the company's director compensation program. That means $30,000 a year in cash for board service and $4,000 for the committee, paid quarterly.

He also gets an initial grant of restricted stock units (shares that vest over time) worth $525,000, vesting one-third on each anniversary of the grant. Starting with the first annual meeting after which that grant would be fully vested within 12 months, he receives a yearly grant worth $175,000, vesting by the next annual meeting.

He may take his cash pay in units and defer some or all of the units. If control of the company changes, all his equity awards vest in full.

## Why Statsig matters here

A [press release](https://www.sec.gov/Archives/edgar/data/0001866692/000119312526422944/d446234dex991.htm?ref=bullished.co) furnished with the filing says Statsig continues as a platform and brand inside Amplitude. Raji started Statsig in 2021 and is its former CEO. The release says Figma, Notion and Brex have adopted its platform.

At OpenAI, Raji leads Ads, Growth, and foundational data and engineering components, per the release. CEO Spenser Skates said: "Vijaye built the world's best experimentation platform, and I'm thrilled to have him on our board."

Amplitude says it serves over 5,200 customers, including Atlassian, Replit, The Economist and Square.

## What to watch

Raji's term expires at the 2027 annual meeting of stockholders. AMPL closed at $15.83 on Thursday, up 3.53%, before the filing was accepted at 4:31 p.m. ET.

Raji is expected to sign the company's standard indemnification agreement, and his seat comes up at the 2027 annual meeting.
