# 116 Companies Filed 8-Ks In The 90 Minutes After Friday's Close — Here Are The 14 That Matter

In the 90 minutes between 4:00 and 5:29 PM ET on Friday, Oct. 2, EDGAR accepted [116 Form 8-Ks](https://www.sec.gov/Archives/edgar/data/0001679788/000167978826000113/coin-20260929.htm?ref=bullished.co). Forty carried Item 5.02, the section covering executive departures, appointments and pay. Eight carried Item 3.01, a Nasdaq compliance warning. Nineteen disclosed new debt. One company changed its auditor. One said its financial statements can no longer be trusted.

The market was closed for all of it. Here are the 14 filings worth knowing, in the order EDGAR received them. Each time is the SEC's acceptance stamp.

**4:01 PM — Daré Bioscience (DARE)** [said](https://www.sec.gov/ix?doc=/Archives/edgar/data/0001401914/000140191426000052/dare-20260928.htm&ref=bullished.co) Nasdaq notified it on Sept. 28 that its closing bid price had been below $1.00 for 30 consecutive business days. The notice has no immediate effect on the listing; Daré has until March 29, 2027, to regain compliance.

**4:03 PM — Direct Digital Holdings (DRCT)** [disclosed](https://www.sec.gov/ix?doc=/Archives/edgar/data/0001880613/000188061326000115/drct-20261001.htm&ref=bullished.co) a Nasdaq delisting determination dated Oct. 1\. The company had failed to meet the minimum stockholders' equity rule by the end of an extension a Nasdaq hearings panel had granted. Trading is suspended at the open on Monday, Oct. 5\. The company may appeal.

**4:04 PM — Coinbase (COIN)** said Chief Accounting Officer Jennifer Jones [notified the company on Sept. 29](https://www.sec.gov/Archives/edgar/data/0001679788/000167978826000113/coin-20260929.htm?ref=bullished.co) that she plans to retire. She remains principal accounting officer until a successor is in place.

**4:06 PM — Snowflake (SNOW)** [filed the terms](https://www.sec.gov/Archives/edgar/data/0001640147/000164014726000043/snow-20260928.htm?ref=bullished.co) of a $3.75 billion zero-coupon convertible senior note offering priced on Monday, Sept. 28, upsized from a $3.5 billion target: $2.0 billion due 2029 and $1.75 billion due 2031, neither paying regular interest. Estimated net proceeds are about $3.70 billion, or about $4.24 billion if the initial purchasers exercise their options in full.

**4:10 PM — Spark I Acquisition (SPKL)** [said](https://www.sec.gov/ix?doc=/Archives/edgar/data/0001884046/000110465926113281/tm2617742d15%5F8k.htm&ref=bullished.co) Nasdaq will delist its securities because the blank-check company did not complete a business combination by Sept. 29, 2026 — 36 months after its IPO registration took effect. Trading in its shares, units and warrants is suspended at the open on Oct. 7.

**4:15 PM — Nano Dimension (NNDM)** [dismissed KPMG](https://www.sec.gov/Archives/edgar/data/1643303/000119312526412301/nndm-20260928.htm?ref=bullished.co) as its independent auditor on Sept. 28, with audit committee approval. KPMG had been in the role only since August 2025\. The filing reports no disagreements with KPMG on any accounting or auditing matter during its tenure. KPMG's [Exhibit 16 letter](https://www.sec.gov/Archives/edgar/data/1643303/000119312526412301/nndm-ex16%5F1.htm?ref=bullished.co) says it agrees with the company's statements, with one exception: it is "not in a position to agree or disagree" with the claim that the audit committee approved the dismissal, or with anything the filing says about the incoming auditor.

**4:17 PM — Prothena (PRTA)** [said](https://www.sec.gov/ix?doc=/Archives/edgar/data/0001559053/000155905326000024/prta-20261002.htm&ref=bullished.co) Chief Development Officer Chad J. Swanson, Ph.D., notified the company on Friday that he is resigning effective Oct. 9 "to accept a position with one of the Company's strategic partners," where he "will assume a leadership role over a program partnered with" Prothena.

**4:30 PM — GlobalTech (GLTK)** said its audit committee concluded on Sept. 29 that the audited financial statements for 2025 and the unaudited statements for the first two quarters of 2026 ["should no longer be relied upon"](https://www.sec.gov/Archives/edgar/data/0001938338/000147793226006021/gltk%5F8k.htm?ref=bullished.co) and will be restated. An error in the deferred tax asset calculation requires an additional valuation allowance of about $8.4 million. The restated 2025 net loss is expected to more than triple.

Also at 4:30, **Blaize Holdings (BZAI)** [disclosed](https://www.sec.gov/ix?doc=/Archives/edgar/data/0001871638/000187163826000059/blz-20260928.htm&ref=bullished.co) a Nasdaq notice dated Sept. 28 that its bid price had been below $1.00 for 30 consecutive business days; its stock continues to trade.

**5:01 PM — Gold.com (GOLD)** [disclosed](https://www.sec.gov/ix?doc=/Archives/edgar/data/0001591588/000119312526412530/gold-20260929.htm&ref=bullished.co) a new credit agreement signed Tuesday with CIBC Bank USA as administrative agent. The new facility is $250 million — down from $427.5 million — and drops the prior agreement's caps on dividends, share repurchases and acquisitions. It is uncommitted and on-demand.

**5:05 PM — Live Nation (LYV)** [disclosed](https://www.sec.gov/ix?doc=/Archives/edgar/data/0001335258/000133525826000041/lyv-20260930.htm&ref=bullished.co) a new employment agreement for CEO Michael Rapino running through Dec. 31, 2031\. The board approved it unanimously, with Rapino abstaining. Seventy percent of his target pay is performance-based, 25% is time-based equity vesting over five years, and 5% is base salary. His $3 million salary and $17 million target cash bonus are unchanged from his prior contract; total annual target pay from 2027 is $47 million.

In the same minute, **Teledyne (TDY)** [filed](https://www.sec.gov/ix?doc=/Archives/edgar/data/0001094285/000109428526000053/tdy-20260928.htm&ref=bullished.co) an amended 8-K adding the compensation terms for Vice Chairman Jason Van Wees's retirement, effective Feb. 1, 2027, which Monday's original filing had left open. The amendment attaches his separation agreement and discloses a $170,000 payment.

**5:10 PM — Pinterest (PINS)** [said](https://www.sec.gov/ix?doc=/Archives/edgar/data/0001506293/000150629326000136/pins-20260930.htm&ref=bullished.co) its board amended the severance plan for employees in Level 21 positions, effective Sept. 30\. The revised plan adds a pro-rated target bonus on a termination without cause, and the greater of the full target bonus or the actual bonus earned on a change in control.

**5:20 PM — Healthcare Triangle (HCTI)** [said](https://www.sec.gov/ix?doc=/Archives/edgar/data/0001839285/000121390026106533/ea0307459-8k%5Fhealthcare.htm&ref=bullished.co) Nasdaq notified it that its bid price is below $1.00\. Unlike Daré and Blaize, the company is not eligible for a compliance period.
